If you love thinking outside the box, collaborating with top-tier talent, and having fun while making an impact—let’s talk!  Position Overview  As our in-house Contracts Manager, you will be responsible for overseeing, negotiating and managing contracts within the organization. This includes preparing, reviewing and executing contracts while ensuring compliance with legal, regulatory, and organizational policies and procedures. The Contracts Manager will work closely with various departments to mitigate risks, optimize contractual relationships, and ensure that all parties fulfill their obligations under the agreements. The ideal candidate will possess strong negotiation, communication, and analytical skills, along with a deep understanding of contract law and IT industry standards.  Reporting Relationships  This role reports directly to the President & Chief Operating Officer and has no direct reports.      Essential Job Functions   As a strategic partner to the executive team, you’ll be required to provide insights that drive the company’s strategic decisions and growth potential while mitigating risks.   - Contract Management (Negotiation and Drafting):   - Draft, review, negotiate and execute contracts, including but not limited to vendor agreements, statements of work, service level agreements, client contracts and partnership agreements.  - Manage the contract lifecycle from inception to termination, ensuring timely renewals, amendments, and terminations.  - Maintain accurate and organized contract records, including electronic and physical files (where applicable).  - Monitor contract performance and ensure compliance with contractual obligations.  - Identify and mitigate potential contract risks.  - Administer change orders and amendments to existing contracts.    - Compliance and Risk Management:   - Identify potential legal and business risks in contracts and propose strategies to mitigate those risks.  - Ensure contracts comply with all applicable laws, regulations, and company policies.  - Conduct risk assessments and develop mitigation strategies.  - Stay up to date on industry best practices and legal developments related to IT contracts.  - Work with legal counsel where applicable, to address complex contractual issues.    - Vendor Management:   - Collaborate with department heads to manage contractual relationships with vendors and subcontractors.  - Evaluate vendor performance and ensure adherence to contractual obligations.     - Negotiate favorable terms and conditions with vendors.    - Internal Collaboration:   - Collaborate with internal stakeholders, including our Sales, Customer Success, and finance teams, to ensure contract alignment with business objectives.  - Provide contract-related guidance and support to internal teams.  - Prepare and present contract status reports to the leadership team.    - Contract Review and Administration:   - Manage the entire contract lifecycle from creation to execution to termination; along with the ability to use contract management software to manage the full lifecycle of contracts.   - Maintain accurate records and ensure timely execution and renewal of contracts.  - Monitor the performance of contractual obligations and ensure that parties are meeting agreed terms.  - Review and manage Non-Disclosure Agreements (NDAs), ensuring all confidentiality clauses are in place and comply with company policies.  - Assess and manage contracts related to SOC 2 compliance, ensuring the company adheres to security, availability, and confidentiality standards as required.    Working Conditions  This role routinely uses standard office equipment such as computers, phones, and printers. Currently, this job operates in a home office environment. There is a 10% travel requirement for this role.    Physical Demands  While performing the duties of this job, the employee is occasionally required to stand; walk; sit; use hands to finger, handle, or feel objects, tools or controls; reach with hands and arms; climb stairs; talk or hear. The employee must occasionally lift or move office products and supplies, up to 20 pounds.    The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job.    Requirements  - Bachelor's degree in business administration, law, or a related field  - 10+ years of experience in contract management, preferably in the Tech industryexperience in SaaS industry, hospitality and/or multi-family market preferred.  - Prior Paralegal experience preferred  - Strong knowledge of contract law and compliance regulations.  - Strong understanding of IT contracts, including software licenses, SaaS agreements, data processing addenda, and service level agreements.  - Excellent negotiation, communication, and interpersonal skills.  - Proven ability to manage multiple contracts simultaneously and prioritize tasks effectively.  - Strong analytical and problem-solving skills.     - Ability to interpret complex legal documents and explain terms in clear, understandable language.  - Proficiency in contract management software and Microsoft Office Suite.  - Knowledge of legal and regulatory requirements related to IT contracts.  - Certifications such as Certified Professional Contract Manager (CPCM) are a plus.  - Strong knowledge of data privacy regulations such as GDPR, CCPA, and other applicable laws.  - Prior use of AI tools to help automate job functions.  - Experience with Cloud computing contracts is highly desirable.
